Terms of Service

Welcome to Sendees (the “App” or “Service”). Sendees is operated by RETAG Foundation, a federally incorporated Not-for-Profit corporation under the laws of Canada (“RETAG”, “we”, “us”), with its principal address at 709-11116 Ave SW, Calgary AB, T2P 5M5.

These Terms of Service (“Terms”) govern your access to and use of the Service. By downloading, installing, registering for, or using Sendees, you agree to be legally bound by these Terms and by our Privacy Policy. If you do not agree, you must not use the Service.

1. Purpose and Nature of the Service

Sendees is a community-based digital platform designed to connect individuals, churches, families, and ministry workers for the purpose of prayer, encouragement, communication, and informational engagement. The Service enables users to create profiles, participate in prayer meetings, share content, invite others, and support RETAG Foundation through voluntary donations.

Sendees is not a marketplace, financial platform, or peer-to-peer transfer system. RETAG Foundation does not act as a bank, financial institution, money transmitter, or escrow service. The App does not allow users to send money to other users.

2. License to Use the App

Subject to your compliance with these Terms, RETAG grants you a limited, non-exclusive, non-transferable, revocable license to use the App on devices that you own or control. This license is granted solely for personal, non-commercial use in accordance with the intended purpose of the Service.

This license does not grant you any ownership rights in the App, its content, trademarks, or underlying technology. You may not copy, modify, distribute, reverse-engineer, or attempt to extract the source code of the App.

3. Description of User Activities

Through Sendees, users may create accounts, post prayer requests and messages, upload images, participate in community features, invite others to join, and make voluntary donations to RETAG Foundation. Certain features may depend on device permissions, which are described in our Privacy Policy.

All user activity within the App must be consistent with the community purpose of the platform.

4. Voluntary Donations to RETAG Foundation

Any payment made through the Service is a voluntary donation made directly to RETAG Foundation. Donations are not payments for goods or services and do not create any contractual relationship between the donor and any individual user or minister.

Donations are generally non-refundable except where required by law.

5. Ownership and Use of Donated Funds

All donations become the sole legal property of RETAG Foundation upon receipt. While users may indicate ministry preferences, RETAG retains full legal discretion and control over how funds are used in accordance with its organizational purposes and legal obligations.

No funds are transferred to individuals through the App.

6. Legal Record Retention Requirements (CRA)

If an official donation receipt is issued, RETAG is legally required under Canadian law to retain certain donor and transaction information for a minimum of six (6) years. This legal requirement overrides any user request for deletion of such records.

7. Premium Subscription (Monthly Auto-Renewable)

Sendees offers an optional monthly auto-renewable premium subscription available exclusively through Apple App Store and Google Play in-app purchases.

Premium users receive additional features, including the ability to invite more users and post a greater number of urgent prayer requests. Subscriptions renew automatically unless cancelled through your App Store or Google Play account settings.

Billing, cancellation, and refunds are handled solely by Apple or Google in accordance with their policies.

Subscriptions may be managed and cancelled through your Apple ID or Google Play account settings after purchase. Refund requests are handled solely by Apple or Google in accordance with their respective policies.

8. User Profiles and Minister Verification

User profiles are informational and for community engagement only. Ministers and other users are independent participants and are not employees, agents, or representatives of RETAG.

Applying for minister verification constitutes consent to the collection and handling of sensitive religious and identity information as described in the Privacy Policy.

9. User-Generated Content and Responsibility

You are solely responsible for any content you post. Content visibility, deletion, and retention are governed by the Privacy Policy, including the three-month protected retention period for abuse and dispute review.

RETAG does not actively monitor private communications but may access content when necessary for safety, legal compliance, or abuse prevention.

10. User Content License, Intellectual Property, and Complaints

You retain full ownership of any photos, images, text, or other content you post on the Service.

By posting content within Sendees, you grant RETAG a limited, non-exclusive, worldwide, royalty-free license to host, store, display, and transmit such content solely for the purpose of operating and providing the Service.

Separate and additional consent is required for RETAG to use any user content, including ministry-related photos or materials, for promotional, marketing, or external communication purposes (such as websites or social media). Such use will occur only with your explicit permission, which you may withdraw at any time by contacting privacy@sendees.app

RETAG respects intellectual property rights. If you believe that any content on the Service infringes your copyright or other intellectual property rights, you may submit a complaint to privacy@sendees.app

with sufficient detail to identify the content and your claim.

Upon receiving a valid complaint, RETAG will review the matter and may remove or restrict access to the content where appropriate.

11. App Permissions and Device Access

Certain features of Sendees require your explicit permission to access specific functions of your device, including foreground location access, contacts for the invite feature, and access to camera, photos, or files when you choose to upload content. These permissions are requested only at the moment the relevant feature is used and are never accessed silently in the background.

Location data is used solely to provide distance calculations and to display nearby prayer meetings, prayer requests, and churches while the App is actively in use. Contact information used for invitations is processed locally on your device and is not uploaded or stored on RETAG’s servers. Access to media files occurs only when you actively choose to upload a photo or document.

All such permissions, their purposes, and limitations are governed strictly by our Privacy Policy. You may disable these permissions at any time in your device settings, although doing so may limit certain features of the Service.

12. Acceptable Use and Prohibited Conduct

You agree to use Sendees only for its intended community, communication, and informational purposes. You must not use the Service in any way that is unlawful, harmful, deceptive, or inconsistent with these Terms.

Prohibited conduct includes impersonating another person, attempting to disrupt or interfere with the Service, attempting unauthorized financial use of the platform, collecting data from other users without consent, or posting content that violates applicable laws or community standards.

RETAG reserves the right to investigate misuse of the Service and to take appropriate action, including content removal, account suspension, or legal action where necessary. Users may contact privacy@sendees.app for review of moderation decisions.

13. Community Standards and Content Moderation

Sendees is a community built for prayer, encouragement, and respectful communication. To protect users and maintain a safe environment, all content posted on the Service must comply with the following Community Standards.

The following types of content are prohibited on the Service:

• Content that promotes harmful or deceptive organizations, manipulative groups, or activities that may endanger users

• Spam, repetitive promotional posts, gambling promotion, or commercial advertising unrelated to the purpose of the Service

• Sexually explicit material, nudity intended to provoke sexual arousal, or any content that sexualizes minors

• Content that promotes or facilitates illegal activity or provides illegal links or sales

• Content harmful to minors, including material relating to self-harm, suicide encouragement, bullying, or abuse

• Hate speech, harassment, threats, or demeaning expressions toward others

• Unauthorized exposure of personal information of others (such as address, phone number, bank details, or identifiable personal data without consent)

• Defamation, false statements, invasion of privacy, portrait rights violations, or copyright infringement

RETAG reviews reports submitted by users and may review content where reasonably necessary to ensure compliance with these standards, legal obligations, and user safety.

RETAG reserves the right to remove content that violates these standards or these Terms. Users may contact privacy@sendees.app for review of moderation decisions.

14. Reporting, Review, and Enforcement

Users may report content or accounts that violate these Community Standards through the in-app reporting feature. All reports are reviewed by RETAG.

Following review, RETAG may take appropriate action, which may include:

• Removing the reported content

• Issuing a warning to the user

• Temporarily suspending the account

• Permanently terminating the account for repeated or serious violations

Repeated violations of the Community Standards may result in account suspension or permanent removal from the Service.

15. Public Content Is Not Private

Content that you choose to post in public areas of the Service, including prayer requests, posts, and profile information, may be visible to other users according to your selected visibility settings and should not be considered private or confidential.

You are responsible for deciding what information you choose to share publicly within the Service.

16. Right to Remove Content

RETAG reserves the right to remove, restrict, or disable access to any content or account where we reasonably believe it violates these Terms, Community Standards, applicable laws, or poses a risk to users or the Service.

Where appropriate, RETAG may take such action without prior notice in order to protect users or maintain the integrity of the Service.

17. Indemnification

You agree to indemnify, defend, and hold harmless RETAG Foundation, its directors, officers, employees, contractors, and volunteers from and against any claims, damages, liabilities, losses, and expenses (including legal fees) arising out of or related to:

• Your use of the Service

• Your content

• Your violation of these Terms or Community Standards

• Your violation of any rights of another person or entity

18. Third-Party Service Providers

To operate Sendees reliably and securely, we rely on trusted third-party service providers, including Stripe for payment processing, Google Firebase for infrastructure, storage, and authentication, and Twilio for optional verification services.

These providers operate under their own terms of service and privacy policies. While RETAG carefully selects reputable providers, we do not control their independent operations and are not responsible for their services beyond our integration with them.

Your use of Sendees may therefore also be subject to the policies of these providers.

19. Service Availability, Maintenance, and Updates

Sendees is intended to be available continuously; however, we may suspend, restrict, or interrupt access to the Service for maintenance, security updates, system improvements, or operational reasons. We will attempt to provide notice where reasonably possible, but certain interruptions may occur without advance notice.

From time to time, we may update the App to improve functionality, enhance security, or maintain compatibility with operating systems. You may be required to install updates in order to continue using the Service.

Failure to install required updates may result in limited functionality or inability to access the App.

20. Account Suspension or Termination

RETAG may suspend or terminate your account if you violate these Terms, misuse the Service, create safety concerns for other users, or where required by law. We may also restrict access to the Service for operational or security reasons.

Where appropriate, we will inform you of the reason for the suspension or termination. However, in cases involving abuse, fraud, or legal concerns, immediate action may be taken without prior notice.

You may request account deletion at any time, subject to the data retention rules described in the Privacy Policy.

21. External Links and Third-Party Content

The Service may include links, references, or integrations that direct you to third-party websites, services, or content that are not owned or controlled by RETAG. These links are provided for convenience and informational purposes only, and the inclusion of any link does not imply endorsement by RETAG of that third party, its products, or its practices. Because we do not control third-party services, we cannot and do not make any representations or warranties about their availability, security, accuracy, legality, or suitability for your needs.

When you leave the App or interact with a third-party service (including by clicking a link, using an embedded web page, or completing a transaction on a third-party site), your relationship is with that third party and is governed by their terms and policies. You should review those terms and policies carefully before providing personal information or using their services. RETAG is not responsible for any loss, damages, disputes, or issues arising from your interactions with third-party services, including but not limited to privacy practices, content moderation, or service interruptions. If you choose to access third-party content, you do so at your own risk and discretion.

22. Release and Disputes Between Users

Sendees is a community platform that enables users to communicate and share content directly with one another. RETAG is not a party to user-to-user interactions and does not control, verify, or guarantee the conduct, accuracy, or reliability of statements made by users. As a result, disagreements may arise between users, including disputes involving content, communications, misunderstandings, or community interactions.

To the fullest extent permitted by law, you agree that any dispute between you and another user is solely between you and that user. You therefore release RETAG, its directors, officers, employees, contractors, and volunteers from any claims, demands, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of or related to any user-to-user dispute. This release includes claims based on alleged misrepresentations, harmful content, harassment, or other interactions occurring through the Service. Nothing in this section limits RETAG’s right to take platform safety actions (such as removing content or suspending accounts) when we deem it necessary, but such actions do not create any duty for RETAG to resolve disputes or to guarantee outcomes. Users may contact privacy@sendees.app for review of moderation decisions where platform safety actions affect their account.

23. Disclaimer of Warranties

The Service is provided on an “AS IS” and “AS AVAILABLE” basis. While we work to provide a stable and secure platform, RETAG does not warrant that the Service will be uninterrupted, error-free, or always available, and we do not guarantee that defects will be corrected immediately. The Service may occasionally be unavailable due to maintenance, technical failures, network issues, third-party outages, or events beyond our reasonable control.

RETAG also does not warrant the accuracy, completeness, or reliability of user-generated content, location-based listings, community information, or other content made available through the Service. Any reliance you place on information obtained through the Service is at your own risk. To the fullest extent permitted by law, RETAG disclaims all warranties, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Where applicable law does not allow the exclusion of certain warranties, those warranties will be limited to the minimum extent permitted by law.

24. Limitation of Liability

To the fullest extent permitted by law, RETAG will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, loss of goodwill, loss of business opportunities, loss of data, or service interruption, arising out of or related to your use of (or inability to use) the Service. This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if RETAG has been advised of the possibility of such damages.

Without limiting the foregoing, RETAG is not responsible for: (i) user-generated content or user conduct; (ii) errors, failures, or outages of third-party providers (including payment processors and infrastructure providers); (iii) unauthorized access to or alteration of your transmissions or data; or (iv) issues arising from your device, operating system, network connection, or carrier. In jurisdictions that do not allow certain limitations of liability, RETAG’s liability will be limited to the maximum extent permitted by law. Nothing in these Terms excludes or limits liability that cannot be excluded under applicable law.

25. Age Requirement and Eligibility; Device Owner Permission

The Service is not intended for children under the age of 16. You must be at least 16 years old to create an account and use Sendees.

By using the Service, you represent and warrant that you meet this age requirement and that your use complies with applicable laws and regulations in your jurisdiction.

If you are using a device that you do not own or control, you must have the permission of the device owner to download, install, and use the App.

You are responsible for ensuring that your access to and use of the Service is lawful. RETAG may take reasonable steps to restrict access where we believe a user does not meet the eligibility requirements.

If we become aware that an account is being used by a person under the age of 16, we may suspend or terminate the account and take steps consistent with our Privacy Policy and applicable law.

26. Multiple Device Access; Account Security

Sendees may allow you to access your account from multiple devices that you own or control. This convenience does not reduce your responsibility for account security, and you are solely responsible for maintaining the confidentiality of your login credentials and securing your devices. You agree to notify RETAG promptly if you suspect unauthorized access to your account.

We may implement security measures or limits to protect users and the Service, including measures to detect suspicious activity or prevent abuse. In certain cases, we may require additional verification steps or temporarily restrict access while investigating suspected misuse. RETAG is not liable for losses resulting from your failure to maintain adequate security over your account or devices.

27. Transfer; Severability; No Waiver

RETAG may assign or transfer its rights and obligations under these Terms, in whole or in part, to another organization (for example, in connection with a merger, reorganization, or transfer of operations). If such a transfer occurs, we will take reasonable steps to ensure that your rights under these Terms are not materially reduced. You may not assign or transfer your rights or obligations under these Terms without RETAG’s prior written consent.

If any provision of these Terms is held by a court or competent authority to be invalid, unlawful, or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. RETAG’s failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision, and any waiver must be in writing to be effective.

28. Governing Law; Changes to These Terms

These Terms and any dispute or claim arising out of or relating to the Service will be governed by the laws of Canada and the Province of Alberta, without regard to conflict-of-law principles. You agree that, where permitted by law, the courts located in Alberta will have jurisdiction over disputes relating to these Terms, subject to any mandatory consumer protection rules that apply in your jurisdiction.

RETAG may update these Terms from time to time to reflect changes in the Service, legal requirements, or operational practices. If we make changes, we will post the updated Terms within the App or through another reasonable notice method, and we may indicate an updated effective date. Your continued use of the Service after the effective date of updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the changes, you must stop using the Service and may request account deletion in accordance with the Privacy Policy (subject to legally required retention obligations).

29. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and RETAG regarding the Service and supersede any prior agreements or understandings.
